Constitution of
Islam-World Unified Mosques
Article I - Name and Description
The name of the organization is "Islam-World Unified Mosques", hereafter referred to as the "Organization".
Islam-World Unified Mosques is an association of "Unified Mosques" throughout the world.
Article II - Purpose
The purpose of the Organization:
(i) To establish, promote, encourage, extend, coordinate, assist, supervise and generally direct the "Unified Mosques" throughout the world.
Article III - Object
The object of the Organization and the " Unified Mosques" is:
(i) to encourage, promote, and extend the worship of and obedience to Allah-- the Gracious, the Merciful, The Supreme Being, the Eternal Omnipresent, Omnipotent Creator and Sustainer of the Universe and the God of Noah, Abraham, Moses, Jesus, Muhammad and other messengers and prophets-- among the people of the world.
(ii) to encourage, promote, and extend the reading, understanding and implementation of the Holy Qur'an- the Word of Allah sent to mankind through Muhammad, the messenger of Allah and the last prophet- as a means of achieving fairness among the people of the world.
Article IV - Membership
Section 1 - How Constituted. The membership in the Organization shall consist of "Unified Mosques" which continue to perform the obligations as set forth in this constitution and by-laws.
Section 2 - Location. Except as otherwise provided in the by-laws, any number of "Unified Mosques" shall be permitted to form in any city, suburb or municipal area.
Section 3 - The composition of the "Unified Mosque". (a) "Unified Mosque" shall be composed of adult Moslem persons with the good moral standing and strong belief in which the Holy Qur'an is the only guidance for all righteous Moslem, and gathering anywhere in a residence or place of business or a building specifically designated as a mosque or any other place for sole purpose of reading, understanding, implementing, and promoting the Holy Qur'an and other related activities under the set forth constitution and by-laws of the Organization and constitution and by-laws of "Unified Mosque".
Section 4 - Ratification of Constitution and By-laws. Every "Unified Mosque" granted a certificate of membership in the Organization and accepting the same thereby accepts, ratifies and agrees to be bound in all things not contrary to Holy Qur'an by this constitution and the by-laws of the Organization and amendments thereto and to faithfully observe the provisions thereof.
Article V Board of Directors
Section 1 - How Constituted. The Board of Directors shall be administrative body of the Organization and shall be "X" in number. The President of the Organization shall be a member of the Board. The President-elect of the Organization shall be a member of the Board and the rest of the Directors shall be the past Presidents and elected one which "X" elected one shall be nominated and elected in accordance with the provisions of the by-laws.
Section 2 - Powers. The Board shall have control and management of affairs and funds of the Organization in conformity with this constitution and the by-laws. In exercising such control and management the Board may, as fixed by the budgets provided for in the by-laws, expend in any fiscal year the current income and such amount from the general surplus fund as may be necessary to accomplish the purposes of the Organization. The Board shall report to the next International Convention as to special conditions under which expenditures have been made from the surplus. The Board shall at no time incur indebtedness in excess of the then net assets of the Organization.
Section 3 - Secretary. The Secretary of the Organization shall be Secretary of the Board of Directors. He/she shall have no vote in the proceedings thereof.
Article VI Officers
Section 1 - Titles. The officers of the Organization shall be the President, First Vice President, Second Vice President, other Directors, Secretary, Treasurer and District Governors.
Section 2 - How Elected. The officers of the Organization shall be nominated and elected as provided in the by-laws.
Article VII Administration
Section 1 - The administration of the Organization shall be under general supervision of the Board together with one or other of the following forms of direct supervision, which shall be at all times in conformity with the provision of this constitution and the by-laws:
(i) direct supervision of "Unified Mosques" by the Board.
(ii) direct supervision of "Unified Mosques" by a District Governor in constituted district.
(iii) such a supervision of a District Governor of "Unified Mosque" within any area composed of two or more geographically contiguous districts, as may be deemed advisable by the Board and approved by the Council on Legislation or the International Convention.
Article VIII International Convention
Section 1 - Time and Place. The International Convention of the Organization shall be held annually on the "Xth" day of the month of Hadj. The location of the International Convention will be either Medina or Mecca Arabia, subject to change by the Board for good cause.
Section 2 - Special Conventions. In case of an emergency, Special Conventions may be called by the President with the approval of a majority of the Members of the Board.
Section 3 - Representation.
(a) In any Convention each "Unified Mosque" shall be entitled to be represented by at least one delegate. Any "Unified Mosque" with a membership of more than 100 voting members shall be entitled to be represented at any convention by an additional delegate for each additional 75 of its voting members or major fraction thereof. For this purpose representation shall be determined on the basis of membership in the Organization on "Xth" day immediately preceding the Convention. A "Unified Mosque" may authorize a delegate to cast one or more of the votes to which the "Unified Mosque" is entitled.
(b) It shall be the duty of each "Unified Mosque" to be represented at each Convention of the Organization either by one of its own members as a delegate or by proxy, and to vote on each proposal submitted for determination.
Section 4 – Delegates-at-Large. Each Member of the Board, current President, President-elect and all past Presidents of the Organization still holding membership in a "Unified Mosque", shall be a delegates-at-large at any convention.
Section 5 - Electors and Voting. The duly accredited delegates, proxy
holders, and delegates-at-large shall constitute the voting body of any
Convention and shall be known as Electors. Voting shall be as provided in the
by-laws.
Article IX Council on Legislation
Section 1 - Purpose. Except when in accordance with the by-laws, the Convention may consider and take action on proposed enactments and proposed resolutions, the Council on Legislation shall constitute the legislative body of the Organization.
Section 2 - Time and Place. The Council on Legislation shall meet tri-annually. The Council shall convene not later than 120 days before the International Convention in that year is scheduled to adjourn. The Board of Directors will determine the date and place of the meeting- including the use of electronic networking to facilitate a "virtual meeting".
Section 3 - Procedures. The Council shall consider and act upon all proposed enactment and proposed resolutions which are duly submitted to it, and its action shall be subject only to action by "Unified Mosques" as provided in the by-laws of the Organization. If a sufficient number of votes are filed with the Secretary by "Unified Mosques" rendering their opposition to the action by the Council in adopting any proposed enactment or proposed legislation, the proposed enactment or proposed resolution shall be submitted for action by the Electors at the next Convention.
Section 4 - Membership. The membership of the Council shall be as
provided in the by-laws.
Article X Dues
Every "Unified Mosque" shall pay semiannually to the Organization per capita dues, as provided in the by-laws.
Article XI The Islam-World Unified Mosques Foundation
Subject to such restrictions as may be prescribed by the by-laws or by resolution of a Convention of the Organization, the Board of Directors of the Organization or the Trustees of the Islam-World Unified Mosque Foundation may on such terms and conditions as it deems or they deem advisable, accept any gifts, devised, or bequests of money or property or of the income there from, whether such gifts, devise, or bequest be in fee or in trust, for such uses and trusts as may be prescribed by the donor or the testator. All such gifts, devises, or bequests, together with such surplus funds of the Organization as the Board of directors by authority of a resolution of a Convention of "World Council of Unified Mosques" may, from time to time, set aside for that purpose, shall constitute and become part of a fund to be known as the Islam-World Unified Mosque Foundation.
Article XII Membership Title and Insignia
Every member of a "Unified Mosque" shall be known as a member of the Organization and shall be entitled to wear the emblem, badge, or other insignia that is appropriate to their individual rank or membership status within the Organization.
Article XIII By-laws
By-laws not inconsistent with this constitution embodying additional provisions for the governance of this Organization, shall be adopted, and may be amended by the Council on Legislation or by resolution of the International Convention.
Article XIV Interpretation
Throughout this constitution and the by-laws of the Organization and the standard "Unified Mosque" constitution and by-laws, pronouns of the masculine gender shall not include the feminine.
Article XV Amendments
Section 1 - Time. This constitution may be amended on by a ninety percent (90%) majority vote of the Council on Legislation, except that in the event a sufficient number of votes is filed with the Secretary by "Unified Mosques" recording their opposition to the action by the Council in adopting any proposed enactment to amend this constitution, which will require action by the Convention, as provided in article VIII, section 10(h) of the by-laws of the Organization, this constitution following the meeting of the Council on Legislation by a ninety percent (90%) vote of the electors at the time such amendments are submitted to the Convention.
Section 2 - Who May Propose. Amendments to this constitution may be proposed only by a "Unified Mosque", or by a District Conference, or by the Council on Legislation, or by the Board of Directors.
Section 3 - Procedure.
.1 Any proposal to amend this constitution shall be delivered to the Secretary not later than the first day of the "Xth" in the "mosque year" preceding that in which the Council on Legislation is to meet.
.2 The Secretary of the organization shall transmit a copy of all duly proposed amendments to all members of the Council on Legislation and to the Secretary of each "Unified Mosque" not later than 120 days prior to the date the Council will convene.
.3 The Council shall consider and act upon each duly proposed amendment transmitted to the Council and any duly proffered amendment thereof.
